Local Company Incorporation Key Points

  1. Proposed company name. (Client is highly recommended to give more than 1 option to facilitate efficiency in checking the availability of the name.)
  2. Resident Local Director – Minimum 1
  3. Shareholders – 1 to 40
  4. Paid-up capital – Minimum S$1
  5. Registered Singapore office address is required prior to incorporation
  6. Company Secretary – It is required to appoint a company secretary within 6 months of incorporation

 

Foreign Company Incorporation Key Points

  1. Any natural person above the age of 18 can apply for company incorporation. Given that he/she has not been convicted of any prior legal offence or bankruptcy. 
  2. Foreigners must obtain a work visa/pass such as an Employment Pass or EntrePass to work in Singapore
  3. As a foreign director, if you are not looking to relocate to Singapore, you would need to appoint a nominee director in your place. The nominee director has to reside in Singapore.
  4. Before incorporation, you need to consider which type of entity is best suited for your company.
